Our VAT registration number is GB 799 344 72. Woowise Limited will hereby be referred to as Smooch.com for the purposes of these Terms and Conditions.

1. Membership Rules

These rules are the terms and conditions for your Membership to Smooch.com and your use of this site. By registering on this site and accepting Membership, you agree that the terms and conditions stated in these rules apply to your Membership, whether as a paying or non-paying Member, and that you will abide by them. Any infringement of the Rules may result in loss of chat-room access, loss of message board access, or your Membership being cancelled and you being barred from the site.

You will not solicit business or advertise products or services on this site as a Member, or send spam, junk mail or chain letters to other Members.

You will not use the service to promote another site, service and/or business in any way including but not limited to posting any personal e-mail addresses URL's and/or other personal telephone numbers in your profile.

You will not impersonate another Member, or any other third party.

You will not attempt to access pages of the site except through the navigation system. You will not hack into the site, or retrieve information using a computer program (other than common Internet browser software), for example, by the use of ‘spiders’ or other ‘screenscraping’ techniques.

You will not transmit viruses, computer code, files or programs on this site.

If you arrange any meetings with any person through your use of the service then you do so at your own risk. You should take any precautions you think necessary to ensure your own safety.

We are not liable for actions of, or content provided by a Member which violate the Rules.

We do not have an opportunity to check that the profiles are correct and not misleading. We do not make any representation or warranty that the information contained in any profile is accurate and we are not under any obligation to verify any information contained in any profile.

Before acting on any information contained in any profile or on any information received by you through your use of the Service, you should at your own cost and expense, carry out such investigation as you think is necessary to satisfy yourself of the truth and accuracy of such information.

5. No Guarantee

The service is provided in its current form and Smooch.com do not guarantee or warrant that the service, or any element of the service will meet your requirements, purpose and/or expectations.

We do not warrant that any of the information and/or material provided in the service is accurate.

We do not provide any warranty in respect of the service, results, availability, and/or uninterrupted use of the service.

We will operate this web site with the reasonable skill and care of an online service provider.

We will do our best to maintain the operation of the web site for the service, however, we may need to temporarily suspend the service for operational reasons (e.g. for repairs, planned maintenance or upgrades). We promise to try to restore the service as soon as possible after any suspension.

If you rejoin the site having previously had your access to the site revoked, your Membership terminated or having been banned from the site for infringement of the Membership Rules, Smooch.com reserve the right to deny your access or to remove you again without notice.

8. Disclaimer

Smooch.com shall have no liability for users of the site who breach these rules.

You agree not to hold us liable for any losses, breach of copyright, defamation, damages, liabilities and expenses arising from your or other member's use of this website, infringement of the rules, or from any allegation of breach of copyright or other violation of intellectual property.

Members are solely responsible for all of the content provided under their account.

We are not liable for the acts or omissions of other Members or users of the site, whether authorised or unauthorised.

For the avoidance of doubt, any contract between you and Smooch.com will be deemed to have been concluded in the United Kingdom, and will be interpreted, construed and enforced in all respects in accordance with the laws of England and you submit to the non-exclusive jurisdiction of the English Courts.

We shall have no liability to any member if any monies owed to us by that member have not been paid in full by the due date for payment.

Members shall produce to us written evidence of any claims for which it is alleged that we are liable together with written details of how any loss was caused by us and the steps the member in question has taken to mitigate the loss before we shall have any liability for any claim by a member.

All members shall give us a reasonable opportunity to remedy any matter for which we are liable before said member incurs any costs and/or expenses in remedying the matter. If said member does not do so then to the fullest extent permitted by law Smooch.com shall have no liability to said member.

It is possible for other members and/or unauthorised users to obtain and misuse information about other members as a result of their use of this service. We will have no liability to you arising out of any member's and/or unauthorised user's misuse of information and/or other material posted by any member on the service and/or to other members.

Our total liability to you under and/or arising in relation to their Membership and any agreement shall not exceed 5 times the amount paid by you for the service (if any) under that agreement or the sum of £500, whichever is the higher.

If any of the provisions of these rules is judged to be illegal or unenforceable, the continuation in full force and effect of the remainder of them will not be prejudiced.

We are not responsible or liable for the contents of any third party websites that link to our site or that are linked to from our site.

10. Indemnity

All members agree to indemnify and keep indemnified Smooch.com and all members of its staff against any and all losses, proceedings, lost profits, damages, awards, expenses, costs (including increased administration costs and legal costs on a full indemnity basis), claims, actions and any other losses and/or liabilities suffered by Smooch.com and arising from and/or relating to your use of the service, information and/or other material posted on the service by you and/or arising from or due to any breach of contract, any tortious act and/or omission and/or any breach of statutory duty by you.

Your mobile phone number will never by displayed or used by the other members of Smooch.com. Your number is processed by a reputable third party solely for the puposes of providing the services offered on Smooch.com. Your number is held in the strictest confidence and is used only in the following ways:

To send you occasional marketing messages at our expense drawing your attention to special offers on our website or reminding you of the services available on our website.

To invite you to use other mobile services offered by this website such as but not limited to "You Have Mail" alerts.

To allow you to purchase credits.

You may stop marketing or alert services at any time by replying to the message with the word STOP, or by emailing your request to us using the "contact us" page. This does not apply to credit purchasing messages which will stop after the purchase is complete, has been opted out of with the letter 'N', or has failed.
